法律风险提示:
录用通知书, 也称 offer letter, 是指在招聘的最后一个环节, 向拟录用的劳动者发出的希望与之建立劳动关系的意思表示。
录取通知书, 并非是法律规定的缔结劳动合同的必经程序, 其法律效力究竟如何, 我国相关劳动法律并无涉及, 学术界也无统一的定论。
实务中, 它最早用于外资企业, 随后它被越来越多的企业所习惯采用。
然而, 在一些用人单位眼里, 录用通知书,不是正式的劳动合同, 用人单位可以任意地撤回、 撤销, 由此导致了劳动者和用人单位因录取通知书的争议数见不鲜。
也有学者认为, 录用通知书符合了要约的条件, 构成了要约, 对用人单位产生约束力, 同时此要约一般又确定了承诺期限。
因此, 基于劳动法律关系的特殊性, 以及保护弱者的需要, 在符合一定条件的情况下下, 我们认为录用通知书不可撤销。

办理项目 重点注意事项 录用通知书留存 劳动者应注意录用通知书的留存, 作为将来与用人单位建立劳动关系的资料, 或当用人单位撤销时, 作为维护自身权利的证据。
劳动者应在录用通知书规定的期限内作出承诺 劳动者在收到录用通知书后, 既可以选择承诺, 也可以选择放弃。
若选择承诺, 应在录取通知书所规定的期限内作出。
一旦作出承诺, 双方合同即告成立,双方应受其约束。
录用通知书作为要约, 确定了承诺期限, 一旦生效, 双方均不得随意撤销;劳动者也可以主张自己的理由, 认为要约是不可撤销的。
若用人单位不合理地撤消了录取通知书, 劳动者可以根据实际情况要求用人单位与之建立劳动关系或者要求损害赔偿。
用人单位撤消后积极主张权利 案例 录用通知书能否代替劳动合同 2008 年 2 月, 北京某广告公司完成了一次外部招聘, 经过层层筛选, 某高校应届毕业生王某成为他们的录用对象之一。录用名单确定后, 公司按照内部招聘程序向王某发出了录用通知书,其中标注了他的工作岗位、 工资报酬等。
王某接到通知书后便到公司办理了入职手续, 双方没有签订正式的劳动合同。2008 年 1 2 月 26 日, 公司因受金融危机的影响决定实行经济性裁员,王某不幸被列入裁员名单。
双方在协商解除劳动合同的过程中, 王某提出, 公司一直没有与他签订书面的劳动合同, 按照 《劳动合同法》 的相关规定, 公司应当向他支付在职期间的双倍工资。
但公司认为, 招聘时, 公司便向包括王某在内的每一个被录用人员发放了 录用通知书,通知书中包括了 《劳动合同法》 规定的劳动合同应当具备的所有条款, 工资、 福利、 试用期、岗位等内容一应俱全。
在职期间, 双方一直按照录用通知书中的内容履行各自的权利义务, 王某认可录用通知书的内容和效力, 从未对此提出过任何异议。因此, 录用通知书就是劳动合同,公司愿意按照法律规定向王某支付经济性裁员的经济补偿金, 但不应当向王某支付双倍工资。双方最终未能协商一致, 王某向劳动争议仲裁机构提起仲裁。
【分析】本案争议的焦点是:
录用通知书是否可以代替劳动合同? 在招聘和录用员工的过程中,录用通知书与劳动合同起着不同的作用。
录用通知书是用人单位想要建立劳动关系的单方意愿,而劳动合同是证明用人单位与劳动者建立劳动关系的法律文件。
因此, 二者不能相互代替。
用人单位向劳动者发出录用通知书, 待员工入职后, 应当在一个月内与劳动者签订正式的劳动合同。
劳动合同可以包括录用通知书中与劳动合同有关的部分内容, 也可以在协商一致后进行变更。
劳动合同签订后, 用人单位可以选择使录用通知书失效, 也可将其作为劳动合同的附件而继续有效, 在二者约定不一致时, 应当以劳动合同的约定作为履行劳动权利义务的依据。因此,发放录用通知书并不能免除用人单位签订书面劳动合同的法定义务, 案例中的这家企业未按照法律规定与员工签订书面劳动合同, 根据 《劳动合同法》 第 82 条的规定, 需要向王某支付双倍的工资。

撤销要约的通知应当在受要约人发出承诺通知之前到达 受要约人。
第十九条有下列情形之一的, 要约不得撤销:
